The trade-off: formation fees ($50-500 depending on state), annual report fees, and slightly more paperwork.

You must maintain separation between personal and business finances (separate bank accounts, no commingling), follow corporate formalities, and not personally guarantee business debts.

An LLC can also choose to be taxed as a C-Corp if that becomes advantageous. A sole proprietorship doesn't have these options.
